POSITION INFORMATION LEGAL – Director, Risk & Compliance
F5 Networks is seeking an energetic, experienced leader to join our Risk and Compliance team. Reporting to the Deputy General Counsel of Business Integrity & Chief Privacy Officer, the Director of Risk & Compliance is responsible for ensuring F5 conducts its business in full compliance within applicable laws and regulations, as well as professional and industry standards, accepted business practices, and recognized best practices. This role is also responsible for advising senior management and key internal clients regarding the protection of F5’s interests, ensuring compliance with relevant legal and regulatory requirements as they relate to its products and activities.
This Director will lead a team of legal and compliance professionals responsible for handling both internal and external risk and compliance-related matters, playing a critical role in safeguarding the Organization’s integrity, reputation, and stability. Their demonstrated business sense and legal judgment inspires others to “do the right thing,” their commitment to collaboration promotes cross-team communication and partnerships, and their strategic, centralized leadership fosters innovation and promotes a culture of integrity and compliance across F5.
Key Responsibilities
Leadership
- Lead a global team of experienced compliance managers, providing support through strategic, centralized leadership, innovation, and planning for all aspects of ethics and compliance to assure compliance and appropriate risk management with legal, regulatory, policy and ethical requirements impacting F5.
- Responsible for the execution and maintenance of the Enterprise Anti-Bribery & Anti-Corruption Program, and critical controls for Antitrust/Competition, Conflict of Interest, and Third-Party Risk Management – some of which are programmatic and cross enterprise.
- Drive and maintain F5’s ethics and compliance strategy, including the Enterprise Code of Conduct and subordinate policies. Research ethics and compliance industry trends, develop external contacts, and participate in professional organizations to benchmark and identify best practices.
- Provide oversight and support for F5’s ethics and compliance risk assessment process. Develop compliance tools, practices, and policies to monitor, identify, evaluate, analyze, mitigate, report, and manage operational and strategic risks.
- Support policy management and training and awareness programs to ensure employees clearly understand their responsibilities regarding ethics and compliance issues, and related policies and procedures.
- Establish and supervise a program for routine monitoring and auditing of compliance policies and procedures; identify potential areas of compliance vulnerability and risk and develop and implement corrective action plans as necessary.
- Collaborate with other departments (e.g. Sales, Audit, People & Culture, IT, Finance, etc.) to manage compliance issues to appropriate resolution, and to ensure appropriate and accountable governance is in place.
- Support the Third-Party due diligence program, including ongoing risk oversight and escalation management.
- Provide oversight and investigative responses for F5’s Business Integrity hotline. Ensure concerns raised are addressed in a timely manner and to appropriate resolution.
- Conduct training & awareness for senior leadership, including in outlier situations such as mergers, acquisitions, etc.
Required Qualifications
- Juris Doctor degree and active law license in at least one state in good standing
- 5-10 years of direct experience in compliance, enterprise risk management, auditing, project management, or closely related field
- 5-7 years’ experience building and leading geographically distributed teams, and fostering a culture of collaborative teamwork
- 3-5 years inhouse experience
- 5+ years of investigation experience (global preferred); demonstrated experience preparing oral and written investigative reports
- Thorough knowledge and understanding of global anti-corruption, anti-bribery, competition, and anti-trust laws and regulations
- Demonstrated ability to build strong internal and external relationships across functions, to collaborate with cross-functional teams, and to develop high-performing talent through transformational stages
- Advanced reasoning, critical thinking, and analytical skills; consistently demonstrates sound and strategic judgment, even in ambiguous situations
- Excellent written, verbal, and interpersonal communication skills; able to identify communication deficiencies and adapt accordingly, and to communicate effectively with internal and external stakeholders at all levels
- Advanced planning skills and flexibility, and the ability to analyze, assess, and prioritize projects and pending tasks; able to effectively coordinate and prioritize multiple projects in a fast-paced environment, and to lead a team to do the same
- Exceptional strategic thinking, problem-solving, and proactive approach to drive results effectively; able to effectively lead difficult, highly technical projects and adjust strategy and behaviors to achieve needed results in a fast paced, ever-changing environment
- Demonstrated experience managing and triaging anonymous ethics & compliance reports/complaints
- High level of professionalism and ethics
- Prior experience in US technology company a plus

- Proven ability to inspire teams to achieve ambitious goals in a positive work environment.
- Willingness to travel for internal meetings, conferences, and team activities.
Preferred Qualifications
- Professional certification(s) such as Certified Compliance and Ethics Professional (CCEP), Associate in Risk Management (ARM), Certified Public Accountant (CPA), Certified Internal Auditor (CIA), or other related certification

The annual base pay for this position is: $188,426.00 - $282,638.00F5 maintains broad salary ranges for its roles in order to account for variations in knowledge, skills, experience, geographic locations, and market conditions, as well as to reflect F5’s differing products, industries, and lines of business. The pay range referenced is as of the time of the job posting and is subject to change.
