Position Overview:
The Corporate Counsel will be a key partner to the legal team, helping review, draft, and negotiate a wide range of commercial agreements. These include Non-Disclosure Agreements (NDAs), vendor agreements, Master Service Agreements (MSAs), and government contracts.
In addition to contract work, this role will support corporate governance activities, such as preparing and maintaining corporate records and minutes. Reporting directly to the General Counsel, the Corporate Counsel will play an important role in helping the company operate responsibly and stay compliant with applicable legal and regulatory requirements.

Responsibilities

  • Review, draft, and negotiate commercial contracts, including NDAs, vendor agreements, MSAs, and government contracts, ensuring compliance with applicable laws and company policies.
  • Assist in the preparation and maintenance of corporate minutes and other governance-related documentation.
  • Provide legal advice and support to internal stakeholders on a variety of legal and business matters.
  • Conduct legal research and provide guidance on regulatory and compliance issues relevant to the company’s operations.
  • Collaborate with the General Counsel to develop and implement legal strategies that align with the company’s business objectives.
  • Support the General Counsel in managing external counsel relationships as needed.
  • Assist in the development and implementation of contract management processes and templates to improve efficiency and consistency.

Qualifications

  • Juris Doctor (JD) degree from an accredited law school and active membership in CA state bar.
  • 3-6 years of relevant legal experience, preferably with a focus on commercial contracts and corporate governance. Experience in a corporate legal department or law firm is highly desirable.
  • Strong knowledge of corporate law, commercial transactions, and contract negotiation.
  • Excellent drafting, negotiation, and analytical skills.
  • Ability to work independently and collaboratively in a fast-paced environment.
  • Exceptional organizational skills and attention to detail.
  • Strong interpersonal and communication skills, with the ability to interact effectively with internal and external stakeholders.

Our job titles may span more than one career level. The starting base salary for this full-time position is between $180,000 and $200,000. This salary range reflects the minimum and maximum target for this position in the U.S. The actual base pay is dependent upon many factors, such as work experience, job-related skills, related education, work location, and market demands. The base pay range is subject to change and may be modified in the future. In addition to a competitive base salary and a comprehensive benefits package, this position may be eligible for other forms of compensation such as participation in a bonus and equity program, as applicable.
