What is the role?

Corporate Paralegal

ThoughtSpot’s Corporate Paralegal will report to our Head of Legal to provide comprehensive support to our in-house legal team. This role will be primarily responsible for corporate governance and maintenance, legal entity management, Board and committee support, mergers and acquisitions support, corporate transactions, securities compliance, and supporting equity administration. The role will work with cross-functional teams to ensure that all legal documentation is accurate, timely, and compliant with applicable laws and regulations.

What you'll do:

  • Entity Management: Assist with forming, maintaining, and managing domestic and international entities, subsidiaries, and registrations, including compliance with all necessary formalities, maintaining corporate and compliance calendars, ensuring timely filings, and reviewing and filing relevant foreign entity registrations and business licenses.
  • Corporate Records: Prepare written consents, resolutions, certifications, minutes, minute books, compliance records, intercompany agreements and powers of attorney, and other corporate documentation as needed for subsidiaries; update and maintain corporate records and databases for all subsidiaries and manage corporate agents. Assist with obtaining legalized documents, corporate filings, and other documentation.
  • Board and Committee Support: Assist with Board and shareholder meetings, including preparing, distributing, and maintaining meeting minutes, materials, consents, and secretary’s certificates, as well as maintaining the minute book and index.
  • Securities Compliance: Assist with securities compliance activities, including Rule 701 reporting.
  • M&A and Financing: Assist with acquisitions and financing projects, including assistance with due diligence and data rooms, closing documents, entity transitions, and related projects.
  • Equity Administration: Support the finance and stock administration team to ensure a best-in-class equity program.
  • Insurance Support: Gather information and prepare forms for insurance applications.
  • General Legal Support: Support the legal team as needed, including special projects, legal operations functions, and administering the legal team’s tools and subscriptions.
  • Cross-Functional Collaboration: Coordinate work with the legal, finance, HR, and other teams on special projects and initiatives.

What you bring:

  • At least ten years of relevant legal experience as a corporate paralegal at a law firm or multinational corporation, including at least four years of experience at a public company; experience with enterprise cloud or software companies is preferred.
  • Paralegal certificate or equivalent training.
  • Experience with supporting domestic and international entities, subsidiaries, and registrations.
  • Experience with support Board and shareholder meetings.
  • Experience with supporting SEC reporting and compliance activities for a NYSE or Nasdaq listed company.
  • Experience with equity plans, stock option agreements, and stock transfers.
  • Experience supporting litigation is preferred.
  • Experience with using office software and services such as Google Drive, Docs, Sheets, and Slides, as well as Microsoft Word, Excel, and PowerPoint. An interest in new technology or legal operations is preferred.
